Terms of Service

Please read these Terms of Service ("Terms") carefully before accessing or using the website at https://resolvecx.global or the ResolveCX software platform (collectively, the "Service"), operated by CodeCones, Inc. ("we", "us", "our"), trading as ResolveCX.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (either as an individual or on behalf of the organization you represent) and CodeCones, Inc.. By creating an account, subscribing to a plan, or otherwise using the Service, you represent that:
- you are at least 18 years of age;
- you have the legal authority to enter into these Terms on your own behalf or on behalf of your organization; and
- your use of the Service complies with all applicable laws and regulations.
We reserve the right to update these Terms at any time. We will notify you of material changes by posting the revised Terms on the Site and updating the effective date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
2. Description of the Service
ResolveCX is a cloud-based complaint management and resolution governance platform designed to help organizations capture, track, escalate, and resolve customer complaints and operational issues. The Service includes:
- complaint management and case management workflows;
- escalation and incident management tools;
- analytics, reporting, and governance dashboards;
- integrations with third-party tools (where available); and
- any related documentation, APIs, and support resources.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable prior notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
3. User Accounts and Responsibilities
To access certain features of the Service, you or your organization must register for an account. When creating or managing an account, you agree to:
- provide accurate, current, and complete information;
- maintain and promptly update your account information to keep it accurate;
- keep your login credentials confidential and not share them with unauthorized parties;
- notify us immediately at sales@resolvecx.global of any suspected unauthorized access or security breach; and
- take responsibility for all activity that occurs under your account.
Where the Service is deployed by an organization (the "Customer") for its employees or agents ("End Users"), the Customer is responsible for ensuring that End Users comply with these Terms. We may terminate accounts that we reasonably believe are being used fraudulently or in violation of these Terms.
4. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- use the Service in any way that violates applicable local, national, or international law or regulation;
- transmit any unsolicited or unauthorized advertising or promotional material (spam);
- upload, post, or transmit any content that is unlawful, defamatory, obscene, fraudulent, or harmful;
- attempt to gain unauthorized access to the Service, its servers, or any related systems or networks;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, decompile, or disassemble any part of the Service;
- use automated means (bots, scrapers, or similar tools) to access or collect data from the Service without our express written permission; or
- use the Service to process data in a manner that violates applicable data protection laws.
We reserve the right to investigate and take appropriate action against violations of this policy, including suspending or terminating access to the Service.
5. Intellectual Property
All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, icons, images, audio clips, and data compilations, are owned by or licensed to CodeCones, Inc. and are protected by intellectual property laws including copyright, trademark, and database rights.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not include any right to:
- resell or commercially exploit the Service or its content;
- copy, reproduce, distribute, or create derivative works;
- remove or alter any proprietary notices or labels on the Service; or
- use any data mining, robots, or similar data-gathering tools.
Any feedback, suggestions, or ideas you provide to us about the Service ("Feedback") may be used by us without obligation or compensation to you. By submitting Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate it into the Service.
6. Payment and Subscription Terms
Certain features of the Service are available on a subscription basis. By selecting a paid plan, you agree to the following:
- Billing: Subscription fees are charged in advance on a monthly or annual basis, as selected at the time of purchase. All prices are exclusive of VAT or other applicable taxes unless stated otherwise.
- Payment: You authorize us to charge your designated payment method for all fees due. You are responsible for ensuring that your payment details are kept up to date.
- Renewals: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for any unused portion of a subscription period, except as required by applicable law.
- Price changes: We reserve the right to change subscription pricing. We will give you at least 30 days' written notice of any price increase before it takes effect.
- Free trials: Where we offer a free trial, it will automatically convert to a paid subscription at the end of the trial period unless you cancel beforehand.
7. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
- In no event shall CodeCones, Inc., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service.
- Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim, or (b) £100.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
8. Termination
Either party may terminate these Terms at any time:
- By you: You may stop using the Service and close your account at any time by contacting us at sales@resolvecx.global. Termination does not entitle you to a refund of any prepaid fees.
- By us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if we reasonably believe you have breached any provision of these Terms, if we are required to do so by law, or if we decide to discontinue the Service.
Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination, including intellectual property rights, disclaimers, limitations of liability, and governing law, shall continue in full force and effect.
We will retain your data in accordance with our Privacy Policy following termination.
9. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
You and we both agree to submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
If you are a consumer based in another jurisdiction, you may also have the right to bring proceedings in the courts of your country of residence, and this clause does not affect those rights.
10. General
Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us in relation to your use of the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Third-party rights: These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
